These Terms & Conditions (“Terms”) govern access to and use of the Brief It platform, website, applications, and related services (“Brief It”, “Platform”, “we”, “us”, or “our”). By creating an account, accessing the Platform, posting a project, submitting a proposal, accepting a project, making or receiving a payment, or otherwise using Brief It, you acknowledge that you have read, understood, and agreed to these Terms.

Brief It is a marketplace that facilitates connections between clients seeking marketing services (“Clients”) and independent professionals providing marketing services (“Freelancers”). Brief It is not a party to the underlying professional relationship between a Client and Freelancer except to the extent expressly stated in these Terms.

SECTION I — GENERAL TERMS & CONDITIONS

1. Platform Scope

Brief It is a specialized marketplace for marketing-related projects and services only.

Services may include, without limitation, graphic design, branding, advertising, social media management, copywriting, content creation, photography, videography, marketing strategy, market research, digital marketing, SEO, media planning, campaign development, creative services, and other services reasonably related to marketing.

Projects that are unlawful, fraudulent, deceptive, abusive, sexually explicit, discriminatory, defamatory, or unrelated to marketing may be rejected or removed at Brief It’s discretion.

Brief It does not guarantee that a particular Freelancer will be suitable for a particular project, nor does Brief It guarantee any specific commercial, marketing, financial, creative, or business result.

2. Independent Relationship

Freelancers are independent service providers and are not employees, agents, partners, or representatives of Brief It or the Client.

Nothing on the Platform creates an employment, partnership, joint venture, agency, or other similar relationship between Brief It and any Freelancer or Client.

Freelancers are responsible for their own taxes, registrations, licenses, insurance, equipment, expenses, and legal obligations unless applicable law requires otherwise.

3. Accounts and User Information

Users must provide accurate, current, and complete information when creating and maintaining an account.

Users are responsible for maintaining the confidentiality of their account credentials and for all activity conducted through their account.

Users must not impersonate another person or entity, create fraudulent accounts, manipulate reviews or ratings, or provide misleading information regarding their identity, qualifications, experience, portfolio, or services.

Brief It may request identity, business, payment, or other verification information and may suspend or restrict an account where verification is incomplete or where fraudulent, suspicious, or unlawful activity is suspected.

4. Project-Based Pricing — No Hourly Billing

Brief It operates exclusively on a project-based pricing model.

The Platform does not operate an hourly billing or time-tracking system. Freelancers and Clients must agree on a defined project price and, where applicable, defined milestones or deliverables.

A Freelancer may internally calculate the time required to complete a project; however, the Client is purchasing the agreed project deliverables and not a number of working hours.

The project scope, deliverables, deadlines, number of revisions, price, and other material requirements should be clearly established through the Platform before work begins.

5. Platform Communications

Users should conduct all material project communications through Brief It’s designated communication and chat functionality.

Statements made through the Platform relating to project scope, deliverables, approvals, revisions, deadlines, pricing, cancellation, or other material matters may be used by Brief It when reviewing a dispute.

Users should not rely solely on verbal, telephone, or external communications where the matter could materially affect the project.

6. Payments and Platform Fees

All payments relating to Brief It projects must be processed through the Platform unless Brief It expressly permits otherwise.

The Client is responsible for paying the agreed project price and any applicable Platform fees, taxes, payment-processing charges, or other charges displayed before payment.

Brief It may deduct applicable Platform fees, payment-processing charges, refunds, adjustments, or other amounts authorized under these Terms before transferring funds to a Freelancer.

Users must not attempt to circumvent Brief It’s payment system by arranging payment directly outside the Platform for a project initiated through Brief It.

7. Work Protection and Approval Protocol

To protect both Clients and Freelancers, the following delivery protocol is mandatory.

Before the Client provides explicit approval through the Platform chat, the Freelancer must not provide the complete final, unprotected, or commercially usable version of the work where doing so could expose the Freelancer to unauthorized use or non-payment.

Before approval, Freelancers may use reasonable protection measures, including watermarks, low-resolution previews, flattened previews, password protection, limited-access files, partial previews, or other reasonable safeguards.

The Client may review and assess the protected work for the purpose of determining whether it meets the agreed project requirements.

Once the Client provides explicit approval through the Platform chat, the Freelancer may provide the complete final and unprotected deliverables.

Where payment has been funded through the Platform, Brief It will facilitate release of the applicable payment in accordance with the agreed project and these Terms. The Freelancer’s final unprotected delivery should occur only after the payment has been received by the Freelancer or simultaneously with the release of the payment.

A Freelancer who voluntarily provides complete, unprotected final work before receiving payment does so at their own risk, except where Brief It expressly authorizes such delivery.

8. Approval and Finality

A Client’s explicit approval through the Platform chat constitutes confirmation that the submitted work satisfies the agreed project requirements, subject to rights that cannot lawfully be waived.

Once the Client has:

1. explicitly approved the work through the Platform;

2. received or been provided access to the final deliverables; and

3. the Freelancer has delivered the agreed final work,

the project shall be considered completed and accepted.

Following completion and acceptance, the Client may not ordinarily reject the work, demand a refund, or require additional amendments merely because of a change of preference, dissatisfaction unrelated to the agreed requirements, or a request for additional work.

This does not prevent a Client from raising a legitimate claim involving fraud, material misrepresentation, unauthorized use of third-party intellectual property, a material failure to provide the agreed deliverables, or another matter that cannot lawfully be excluded under applicable law.

9. Revisions and Additional Work

Any revisions included in a project must be agreed upon before or during the project and should be stated in the project requirements or Platform communications.

A revision means an adjustment to work within the originally agreed scope. A material change to the brief, new requirements, additional deliverables, or a substantially different creative direction may constitute additional work and may require a new price or project.

A Freelancer is not required to provide unlimited revisions unless unlimited revisions were expressly agreed upon.

10. Intellectual Property

Unless otherwise agreed in writing through the Platform, ownership or licensing of final project deliverables shall transfer to the Client only upon full payment of the applicable project amount.

Until full payment is received, the Client receives no ownership rights in the unpaid final deliverables and may not commercially exploit, reproduce, distribute, publish, modify, or otherwise use them except for legitimate review and approval.

Freelancers must have the necessary rights to use any third-party materials incorporated into their work and must not knowingly submit copyrighted, stolen, licensed-restricted, trademarked, or otherwise unauthorized material as their own.

The specific intellectual-property arrangement for a project may be agreed separately between the Client and Freelancer through the Platform.

11. Confidentiality

Users must keep confidential information received through a project confidential and must not disclose or use it except as necessary to perform or receive the agreed services.

Confidential information may include business plans, campaign strategies, unreleased products, customer information, marketing data, financial information, passwords, trade secrets, creative concepts, and other non-public information.

This obligation does not apply to information that is publicly available without breach, was lawfully known before disclosure, or is required to be disclosed by law or competent authority.

12. Prohibited Conduct

Users must not:

  • engage in fraud, deception, money laundering, or other unlawful activity;
  • manipulate Platform reviews, ratings, rankings, or transactions;
  • use another person’s account without authorization;
  • submit stolen or plagiarized work;
  • knowingly infringe intellectual-property rights;
  • upload malicious software or harmful files;
  • harass, threaten, discriminate against, or abuse another user;
  • attempt to circumvent Platform fees or payment procedures;
  • use Brief It to facilitate services outside the Platform’s permitted scope;
  • misuse personal or confidential information obtained through the Platform; or
  • interfere with the security, functionality, or operation of the Platform.

Brief It may suspend, restrict, or terminate accounts involved in prohibited conduct.

13. Disputes

Clients and Freelancers should first attempt to resolve disputes directly through the Platform chat.

If the parties cannot resolve the matter, either party may submit the dispute to Brief It for review through the Platform’s designated dispute process.

Brief It may review relevant information, including the original project brief, agreed deliverables, project price, deadlines, Platform chat, submitted files, approval messages, payment records, and other information reasonably relevant to the dispute.

Brief It may request information from either party and may provide a resolution based on the available evidence.

Brief It’s dispute review is intended to provide a practical marketplace resolution and does not prevent a party from exercising rights that cannot legally be waived.

14. Payment and Delivery Disputes

Where a Freelancer claims that completed work has not been paid for, Brief It may review whether the Freelancer satisfied the agreed scope and whether the Client approved, accepted, or otherwise received the work.

Where a Client claims that a Freelancer failed to deliver the agreed work, Brief It may review the original brief, agreed deliverables, communications, deadlines, and submitted materials.

A Client may not withhold an agreed payment merely because the Client subsequently changes the requirements or requests work outside the original scope.

A Freelancer may not demand payment for material deliverables that were not included in the agreed project.

15. Chargebacks and Payment Reversals

Users agree to use Brief It’s dispute process for disputes relating to Platform transactions before initiating a payment reversal or chargeback, where legally permissible.

A fraudulent, abusive, or unauthorized chargeback may result in account suspension, recovery proceedings, or other action permitted by law.

Nothing in these Terms prevents a user from exercising a non-waivable right under applicable law.

16. Reviews and Ratings

Clients and Freelancers may be permitted to rate and review each other following completion of a project.

Reviews must be truthful, relevant, and based on genuine experience.

Users must not manipulate reviews, offer incentives for misleading reviews, threaten another user regarding a review, or post knowingly false or defamatory content.

Brief It may remove reviews that violate these Terms or applicable law.

17. Platform Availability

Brief It will make reasonable efforts to maintain the availability and security of the Platform but does not guarantee uninterrupted or error-free operation.

Brief It may temporarily suspend services for maintenance, upgrades, security reasons, technical issues, or circumstances beyond its reasonable control.

18. Limitation of Brief It’s Role and Liability

Brief It provides the marketplace, communication, payment, and administrative infrastructure connecting Clients and Freelancers.

Unless expressly stated otherwise, Brief It does not guarantee the quality or originality of a Freelancer’s work, a Freelancer’s qualifications or performance, the commercial success of a project, advertising or marketing performance, sales, leads, impressions, engagement, or other business results, the accuracy of information supplied by users, or uninterrupted availability of third-party services.

To the maximum extent permitted by applicable law, Brief It shall not be responsible for indirect, incidental, consequential, special, or business losses arising from transactions between Clients and Freelancers.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

19. Taxes

Each user is responsible for determining and fulfilling their own tax obligations arising from their activities on Brief It.

Brief It may collect, withhold, report, or charge taxes where required by applicable law.

20. Account Suspension and Termination

Brief It may suspend, restrict, or terminate an account where it reasonably believes that a user has violated these Terms, engaged in fraud or abuse, created a security risk, failed required verification, or otherwise misused the Platform.

Users may request closure of their accounts, subject to completion of outstanding projects, payments, disputes, or legal obligations.

Termination does not automatically extinguish obligations that by their nature should survive termination, including confidentiality, intellectual-property, payment, dispute, liability, and indemnification provisions.

21. Privacy and Personal Data

Brief It may collect and process user information necessary to operate the Platform, provide services, process transactions, prevent fraud, communicate with users, and comply with legal obligations.

Personal data shall be handled in accordance with applicable data-protection laws and Brief It’s Privacy Policy.

Users must not misuse personal information obtained through Brief It.

22. Changes to These Terms

Brief It may update these Terms from time to time to reflect changes in the Platform, applicable law, security requirements, or business operations.

Material changes may be communicated through the Platform or other appropriate means.

Continued use of Brief It after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

23. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Arab Republic of Egypt, unless mandatory applicable law provides otherwise.

Subject to the dispute-resolution procedures stated above and any mandatory legal rights, disputes that cannot be resolved amicably shall be submitted to the competent courts of the Arab Republic of Egypt.

SECTION II — TERMS & CONDITIONS FOR CLIENTS

24. Client Responsibilities

Clients must provide Freelancers with accurate, complete, and sufficiently clear project briefs.

The Client is responsible for providing all information, materials, references, brand assets, access credentials, approvals, and other resources reasonably required to complete the project.

Delays caused by missing information, delayed feedback, unavailable materials, or delayed approvals may affect the agreed delivery date.

25. Defining the Project

Before accepting a project, Clients should clearly identify required deliverables, quantity and format, project objective, target audience, relevant brand guidelines, required deadlines, number of revisions, required platforms or specifications, budget, and any other material requirements.

A Freelancer should not be expected to deliver requirements that were not reasonably communicated or agreed upon.

26. Client Review and Approval

Clients must review submitted work within a reasonable period and communicate specific feedback through the Platform.

Where changes are requested, Clients should identify the specific elements requiring revision and ensure that the request remains within the agreed scope.

Clients should not intentionally delay approval while using, publishing, or commercially benefiting from protected or unpaid work.

27. Approval Creates Final Acceptance

When a Client explicitly approves final work through Platform chat, the Client confirms that the work is accepted against the agreed brief.

After approval and final delivery, the Client cannot ordinarily request a refund, reject the project, or demand free amendments merely because the Client subsequently changes their mind or preference.

Additional work requested after approval shall be treated as a new scope and may require additional payment.

28. Client Payment Obligations

Clients must maintain sufficient funds and complete payment according to the agreed project terms.

A Client may not intentionally prevent a Freelancer from receiving payment after the Freelancer has completed and delivered work in accordance with the agreed requirements.

Failure to pay an agreed amount may result in account restriction, suspension, or other action permitted under these Terms.

29. Client Use of Work

Clients may use final deliverables only in accordance with the intellectual-property rights agreed for the project and after the applicable payment has been completed.

Clients may not take protected preview material, concepts, drafts, or rejected work and use them commercially without the Freelancer’s authorization.

SECTION III — TERMS & CONDITIONS FOR FREELANCERS

30. Freelancer Responsibilities

Freelancers must accurately represent their skills, experience, portfolio, qualifications, availability, and ability to complete the project.

A Freelancer must only accept projects they reasonably believe they can complete within the agreed scope and timeframe.

Freelancers must perform services professionally and in accordance with the agreed brief.

31. Originality and Third-Party Materials

Freelancers are responsible for ensuring that work submitted to Clients is original or that the Freelancer has obtained the necessary rights, permissions, licenses, or authorizations to use incorporated materials.

Freelancers must disclose material third-party assets, stock materials, fonts, templates, AI-generated elements, or other licensed materials where their use may impose restrictions on the Client.

A Freelancer must not knowingly deliver infringing, stolen, fraudulent, or unlawfully obtained material.

32. Delivery Deadlines

Freelancers must make reasonable efforts to meet agreed deadlines.

If circumstances arise that may materially delay delivery, the Freelancer must notify the Client through the Platform as soon as reasonably possible.

Repeated or unexplained failure to meet agreed deadlines may constitute grounds for dispute or account action.

33. Protected Work Before Approval

Freelancers must follow the Platform’s Work Protection and Approval Protocol.

Before explicit Client approval through Platform chat, Freelancers must use reasonable safeguards when providing previews or review versions and must not provide the complete final unprotected deliverables where doing so could expose the Freelancer to unauthorized use or non-payment.

Freelancers should clearly identify protected files as previews or review versions where appropriate.

34. Final Delivery and Payment

A Freelancer should provide the complete final and unprotected deliverables only once the agreed payment has been received or is being released simultaneously through the Platform.

Once the Client has explicitly approved the work and the Freelancer has received the applicable payment, the Freelancer is considered to have completed the agreed project, subject to any expressly agreed remaining deliverables.

A Freelancer may not withhold agreed final deliverables after receiving full payment unless the Client has materially breached the project agreement or applicable law provides otherwise.

35. Revisions

Freelancers must honor the revision terms agreed for the project.

A Freelancer is not required to perform additional work that materially exceeds the agreed scope without additional compensation.

Where the Client requests a material change to the original brief, the Freelancer may propose a revised price, timeline, or new project.

36. Freelancer Payment

Freelancers are entitled to receive the agreed project payment when they have fulfilled the applicable project requirements and the Client has approved the work, subject to applicable Platform fees, payment processing, lawful deductions, disputes, fraud reviews, and other provisions of these Terms.

Brief It may temporarily hold or delay funds where reasonably necessary to investigate suspected fraud, unauthorized transactions, technical errors, legal requirements, or disputes.

37. Freelancer Portfolio Rights

Unless the Client expressly requires confidentiality or the project is subject to confidentiality restrictions, a Freelancer may request permission to display completed work in their portfolio.

The Freelancer must not publicly disclose confidential information, unreleased campaigns, sensitive business information, or materials the Client has expressly identified as confidential.

38. Freelancer Disputes

A Freelancer may raise a dispute where a Client refuses to pay after approved or completed work; a Client requests work materially outside the agreed scope without additional payment; a Client uses protected work without authorization; a Client attempts to reverse a valid payment without legitimate grounds; or another material breach of the agreed project occurs.

The Freelancer should provide Brief It with the relevant brief, communications, delivery records, approval messages, and payment information.

39. No Circumvention

Freelancers and Clients must not use Brief It to establish a relationship and then deliberately move transactions outside the Platform for the purpose of avoiding applicable Platform fees, protections, or procedures.

Where users independently enter into relationships outside Brief It without violating these Terms, Brief It may not be responsible for those transactions or disputes.

40. Acknowledgment

By using Brief It, each Client and Freelancer acknowledges that they understand the project-based nature of the Platform, the Work Protection and Approval Protocol, the payment and finality rules, the dispute process, and their respective responsibilities.

These Terms are intended to establish a clear and fair framework that protects Clients against non-performance and protects Freelancers against unauthorized use or non-payment while allowing Brief It to operate as a neutral marketplace and transaction facilitator.
